BUYER MEMBERSHIP AGREEMENT

1. PARTIES

This Buyer Membership Agreement ("Buyer Agreement") is made between Sadece Kapı, located at Adnan Kahveci, Kazım Karabekir Cd. 51A3 İstanbul / Beylikdüzü, and the Buyer who registers as a member on the Website. It sets forth the terms and conditions for the services provided by Sadece Kapı on the Website and the use of these services by the Buyer, defining the rights and obligations of both parties accordingly.

The Buyer confirms that they have read, fully understood, and accepted all provisions of this Buyer Agreement.

2. DEFINITIONS

Service/Services: Applications provided by "Sadece Kapı" to enable "Buyer" members to perform the transactions defined within this agreement.

User/Users: Natural or legal persons accessing the "Website."

Website: The web platform accessible via www.sadecekapi.com and its subdomains, where "Sadece Kapı" offers the "Services" defined in this agreement.

Member/Members: Natural or legal persons registered on the "Website" who benefit from the content, applications, and "Services" available on the "Website."

Buyer: A natural or legal person "Member" who purchases goods and/or services offered for sale by a "Seller" on the "Website."

Seller: A legal person "Member" who offers goods and/or services for sale on the "Website."

Virtual Store: A dedicated section on the "Website" where "Sellers" can publish multiple listings of goods and/or services they provide, with additional features specified by "Sadece Kapı."

Member Page: A personalized page accessible only by the "Buyer" through a username and password they set, allowing them to manage personal information and access various applications and "Services" on the "Website."

3. SUBJECT AND SCOPE OF THE AGREEMENT

This agreement governs the terms and conditions for the use of services provided by "Sadece Kapı" on the "Website" and the rights and obligations of the parties arising from such use.

The scope covers all terms and conditions related to all "Services," applications, and content available on the "Website." All statements directed at "Services," usage, content, applications, "Members," and users provided by "Sadece Kapı" on the "Website" are an integral part of this agreement. By accepting this agreement, the "Buyer" also accepts all current and future declarations related to these services and users.

4. RIGHTS AND OBLIGATIONS

4.1. To obtain "Buyer" status, a "User" wishing to become a "Buyer" must complete the membership form on the "Website" truthfully, approve the Sadece Kapı Terms of Use, and have their membership application approved by "Sadece Kapı." If the applicant is a natural person, they must be at least 18 years old. Upon approval and notification, the "Buyer" status begins, granting the rights and obligations stated in this agreement and on the "Website." The "User" is solely responsible for any damages arising from providing false information. Buyer rights and obligations are personal and non-transferable to any third party. In case of disputes regarding the ownership of Buyer rights and obligations, "Sadece Kapı" will consider the person who last made a payment to "Sadece Kapı" through the relevant membership account as the rightful "Buyer." "Sadece Kapı" reserves the right to act independently of this rule based on membership and transaction records.

4.2. The "Buyer" acknowledges that any legal procedures or purchase processes initiated based on listings viewed on the "Website" are their sole responsibility, including fulfilling all legal obligations and procedures. "Sadece Kapı" holds no responsibility or obligation regarding these matters.

4.4. The "Buyer" guarantees that all information, content, and listings they upload to the "Website" are accurate, lawful, and free from defamatory, insulting, threatening, or otherwise unlawful or unethical material. They confirm having all rights and permissions to publish, offer for sale, and display the related goods and services in compliance with applicable laws.

4.5. While acting as a "Member" or "User," the "Buyer" agrees to comply with this agreement, all terms and conditions on the "Website," applicable laws, and ethical standards in all transactions and communications. They acknowledge responsibility for fulfilling all legal requirements related to advertising, selling, tax obligations, or similar roles. The "Buyer" bears full legal and criminal liability for all actions performed on the "Website."

4.6. In compliance with applicable laws, "Sadece Kapı" will share the "Buyer"'s information with authorized authorities upon request. Such information may also be shared with other users involved in disputes to protect their legal rights, strictly within this limited scope.

4.7. The username and password required for the "Buyer" to access their Member Profile Page and perform certain transactions on the "Website" are created by the "Buyer" and their security and confidentiality are the sole responsibility of the "Buyer." The "Buyer" accepts full responsibility for all actions performed using their credentials and waives any objections or claims denying responsibility for such actions.

4.8. "Sadece Kapı" strictly prohibits any unlawful use of the "Website," including but not limited to:

• Using the "Website" to create, control, update, or modify databases, records, or directories belonging to themselves or others;
• Disassembling, altering, or reverse engineering any part or the entirety of the "Website";
• Creating fake user accounts using false or misleading personal information or unauthorized use of another user's account;
• Using the "Website" for any illegal or fraudulent purposes;
• Unauthorized use, copying, modification, transmission, or replacement of copyrighted or legally protected content belonging to "Sadece Kapı" or third parties;
• Manipulating transaction prices or interfering with other users' transactions;
• Using review and rating systems for purposes outside the "Website," such as publishing reviews externally;
• Spreading chain letters or unsolicited emails (spam);
• Distributing viruses or harmful software affecting the "Website," its database, or content;
• Collecting any user information, including email addresses, without permission;
• Imposing unreasonable or disproportionate loads on communication and technical systems determined by the "Website";
• Using automated programs, robots, crawlers, data mining, screen scraping, or similar software without prior written consent from "Sadece Kapı" to copy or publish any content from the "Website."

Any use of the "Website" or its content beyond these limits is unlawful, and "Sadece Kapı" reserves all rights to pursue claims, lawsuits, and enforcement actions.

4.9. "Sadece Kapı" may use, store, and share the "Member/Personal" information provided by the "Buyer" on the "Website" in accordance with the Privacy Policy and to fulfill obligations under this agreement, operate the "Website," and for statistical analysis, advertising, marketing, and other commercial communications on behalf of itself or its partners. The "Buyer" consents to such use and storage of their information. "Sadece Kapı" will take all necessary measures to securely store this data. The Buyer has the right to update their personal information at any time.

4.10. The "Buyer" agrees to take all necessary precautions, including using appropriate antivirus software, to ensure that any information, content, materials, or data they provide to the "Website" do not contain viruses, spyware, malware, Trojan horses, or any harmful components that could damage the "Website" or any part of it.

5. INTELLECTUAL PROPERTY RIGHTS

The Buyer may not resell, share, distribute, display, reproduce, create derivative works from, or grant access to third parties for the services, information, or copyrighted materials provided by Sadece Kapı through the Website. Violations will make the Buyer liable for compensation claims, including damages, court costs, and attorney fees, to Sadece Kapı and third parties.

All tangible and intangible property rights, including intellectual property rights related to Sadece Kapı, its services, information, copyrighted works, trade dress, and the Website, are reserved by Sadece Kapı.

6. AMENDMENTS TO THE AGREEMENT

Sadece Kapı reserves the right to unilaterally amend this agreement at any time by publishing the changes on the "Website." The amended provisions become effective on the date of publication. All other provisions remain in force. The agreement cannot be modified by unilateral declarations from the "Buyer."

7. FORCE MAJEURE

Sadece Kapı is not liable for any delay, partial or non-performance of obligations under this agreement due to force majeure events. Such events include but are not limited to natural disasters, riots, wars, strikes, cyber-attacks, communication failures, infrastructure or internet outages, system upgrades, power cuts, and adverse weather conditions beyond Sadece Kapı's reasonable control. No compensation claims can be made by the Buyer for such events.

8. GOVERNING LAW AND JURISDICTION

This agreement shall be governed by and construed in accordance with Turkish Law. Any disputes arising from or related to this agreement shall be subject to the exclusive jurisdiction of the Istanbul Central Courts and Enforcement Offices.

9. VALIDITY OF Sadece Kapı RECORDS

The Buyer acknowledges that in any disputes arising from this agreement, electronic and system records, commercial books, microfilm, microfiche, and computer records maintained by Sadece Kapı constitute valid, binding, conclusive, and exclusive evidence. The Buyer waives the right to request Sadece Kapı to take an oath and accepts this clause as an evidentiary agreement under Article 193 of the Turkish Civil Procedure Code.

10. SEVERABILITY

If any provision or statement in this agreement is found invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.

11. NOTIFICATIONS

Communication with Buyers will be conducted via the email address provided during registration or through general announcements on the Website. Email communications are considered written notifications. Buyers are responsible for keeping their email addresses up to date and regularly checking the Website for updates.

By electronically accepting this agreement at the time of membership, the Buyer agrees to be bound by its terms throughout the membership period.
